These Terms govern your access to and use of SourcingNav (the “Service”), including the website at sourcingnav.com, its APIs, browser extension, and all related software and documentation. The Service is owned and operated by Jason Shotwell (“we”, “us”). By accessing or using the Service you agree to these Terms. If you do not agree, do not use the Service.
The Service, including all source code, algorithms, taxonomies, scoring models, data structures, interfaces, designs, text, and documentation (collectively, the “Materials”), is our exclusive property and is protected by copyright, trade secret, and other intellectual property laws. The Materials were created and first published prior to and independently of any employment relationship, and all rights are reserved.
The Materials include everything the Service learns from being operated: the taxonomy and vocabulary, search lanes and query patterns, scoring weights and learned models, and the statistical aggregates the Service computes across role families. Section 5 explains what remains yours.
Nothing in these Terms transfers any ownership interest to you. No right or licence is granted by implication, estoppel, or otherwise except as expressly stated in Section 2.
Subject to your continuous compliance with these Terms, we grant you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and use the Service for your own internal recruiting purposes, for as long as your account remains in good standing. That is the entire scope of what you may do.

The Service processes information about real people. In exchange for access you agree that you will:
You are the controller of the candidate data you process through the Service and are responsible for your own compliance with applicable law, including the EU AI Act, GDPR, CCPA, and equal-opportunity legislation. See our Privacy Policy.
You retain ownership of the job descriptions, notes, and candidate records you enter (“Your Content”). You grant us a limited licence to host, process, and transmit Your Content solely to operate and support the Service for you. We do not sell Your Content, and we do not pool it into a shared candidate database across customers.
Who owns what. You own your records and can export them at any time. We own the derived vocabulary, models and aggregates: the taxonomy, the search lanes, the scoring weights, and statistics such as reply rates, screen validity and interviewer agreement by role family. Those derived assets never contain a candidate’s name, contact details, profile URL or any other personal data, and they never let one customer see another customer’s records. Everything in the Service comes from the public web or from what you entered yourself. We do not import from employer systems and we do not license scraped databases, so the provenance of every record is clean and stays that way.
If you send us suggestions or feedback, we may use them without restriction or compensation. Feedback is not confidential and creates no obligation to you.
Paid plans, where offered, are billed in advance and are non-refundable except where required by law. We may change pricing on notice; changes take effect at your next renewal. You are responsible for taxes other than taxes on our income.
The Service depends on third-party providers, including search indexes, AI inference providers, hosting, and email delivery. We do not guarantee uninterrupted availability, and we may modify, suspend, or discontinue any feature at any time. Results returned by search or AI components are informational and may be incomplete or inaccurate; you are responsible for verifying anything you act on.
We may suspend or terminate your access immediately and without notice if we reasonably believe you have breached Section 3 or Section 4, or if your use threatens the security, integrity, or lawful operation of the Service. On termination your licence ends at once and you must cease all use and destroy any copies of the Materials in your possession.
You may stop using the Service at any time and may request deletion of your data through the privacy request form.
You acknowledge that a breach of Section 3 would cause irreparable harm for which monetary damages are inadequate, and that we are entitled to seek injunctive relief and specific performance in addition to any other remedy, without the need to post a bond. We may pursue all remedies available at law and in equity, and you agree to reimburse our reasonable legal fees and costs in any action in which we substantially prevail.
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. We do not warrant that the Service will be error-free, that results will be accurate or complete, or that any candidate will be placed.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, LOST PLACEMENTS, OR LOSS OF DATA, HOWEVER CAUSED. OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS.
Nothing in these Terms limits liability that cannot lawfully be limited, including for fraud, wilful misconduct, or death or personal injury caused by negligence.
You will defend, indemnify, and hold us harmless from any claim, loss, or expense (including reasonable legal fees) arising from your use of the Service, Your Content, your breach of these Terms, or your violation of any law or third-party right.
We may update these Terms. Material changes will be posted here with a new effective date and, where you have an account, notified by email. Continued use after the effective date is acceptance.
These Terms are governed by the laws of the State of California, excluding its conflict-of-laws rules. The exclusive venue for any dispute is the state and federal courts located in Orange County, California, and you consent to their personal jurisdiction. Each party waives any right to a jury trial and to participate in a class or representative action.
These Terms, together with the Privacy Policy, are the entire agreement between us regarding the Service. If a provision is held unenforceable, it is modified to the minimum extent necessary and the remainder stays in force. Our failure to enforce a provision is not a waiver. You may not assign these Terms; we may assign them in connection with a merger, acquisition, or sale of assets. Sections 1, 3, 5, 6, and 10–16 survive termination.
